1. Introduction

Welcome to Kubby, an AI-driven shopping platform that helps users shop online and locally, track orders, and enjoy secure package delivery through verified local businesses (“spaces”). By accessing or using the Kubby application, website, or services (collectively, “Platform”), you agree to be bound by these Terms and Conditions (“Terms”).

If you do not agree to these Terms, please do not use Kubby.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use Kubby. By using the platform, you confirm that you meet this requirement.

3. Account Registration

You may be required to create an account to access certain features. You agree to:

• Provide accurate and complete information.

• Maintain the confidentiality of your login credentials.

• Accept responsibility for all activities that occur under your account.

4. Services

Kubby offers the following core services:

• AI-assisted shopping insights across multiple online and local stores.

• Centralized order and delivery tracking.

• Secure package delivery and retrieval at local hubs (“/spaces”).

• Marketplace purchases from local businesses (“/spaces”).

• Sustainability metrics and product recommendations and insights.

• Optional subscription tiers with enhanced features.

• Kubby reserves the right to modify or discontinue any part of the services at any time without notice.

5. User Responsibilities

You agree not to:

• Use the platform for unlawful purposes.

• Interfere with the integrity or performance of the services.

• Share, post, or transmit content that is harmful, harassing, or violates third-party rights.

6. Fees and Subscriptions

Kubby offers free and paid subscription tiers. Payment terms for subscriptions are as follows:

• Subscriptions auto-renew unless canceled prior to the renewal date.

• Refunds may be issued on a pro-rated basis for unused subscription periods at Kubby's discretion, and as required by applicable law.

• Fees for using spaces (e.g., $1.99 per delivery) may apply outside of subscription plans.

7. Space Locations and Businesses

Businesses participating as designated "Spaces" on the Kubby platform agree to manage package pickups and/or facilitate local sales in accordance with Kubby's operational guidelines. While Kubby will make commercially reasonable efforts to enable seamless package booking, delivery tracking, and/or store ordering through its platform, Kubby does not guarantee nor assume responsibility for any order issues, fulfillment errors, or disputes that arise directly between a Space and a user.

Kubby’s responsibilities are strictly limited to facilitating the coordination and delivery of eligible packages that have been successfully marked as “delivered” to a Space on behalf of a verified Kubby user. Kubby shall bear no liability for any loss, damage, service failure, injury, or harm related to activities, items, or services rendered at or by a Space outside the scope of such delivered packages.

All risks associated with in-store purchases, third-party services, and general engagement with a Space rest solely with the Space and the user.

Secure Hubs participating as spaces agree to manage package pickups per Kubby guidelines. Kubby is responsible for all packages at local hubs and insured up to $2000 per package delivered to a space. Spaces who knowingly mishandle packages will be held liable separately.

Users acknowledge that each space is independently operated and may have its own rules for in-store services and item returns.

8. Intellectual Property

All content, features, and technology on Kubby are owned or licensed by BTG Inc. You may not use, copy, or reproduce any part of the service without prior written consent.

9. Privacy

Use of the platform is subject to our Privacy Policy. We collect and use personal data to operate, improve, and personalize your experience on Kubby.

10. Disclaimers

Kubby is provided “as is” and “as available.” We do not guarantee the accuracy, reliability, or availability of services at all times.

We are not liable for:

• Losses due to reliance on AI recommendations.

• Delays in package deliveries.

• Issues arising from third-party stores or services.

• Space partnerships with online or local stores.

11. Limitation of Liability

To the maximum extent permitted by law, Kubby and its affiliates are not liable for indirect, incidental, or consequential damages arising from your use of the platform.

12. Termination

We reserve the right to suspend or terminate your access at any time, for any reason, including violation of these Terms.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws principles. Any dispute arising from these Terms shall be resolved through binding arbitration in Delaware under the American Arbitration Association's rules. Both parties waive their right to a jury trial, except where prohibited by law.

14. Changes to Terms

We may update these Terms from time to time. Continued use of the platform after changes indicates your acceptance of the new terms.
